OVERVIEW

Welcome to F/X Fusion. The terms “F/X Fusion,” “we,” “us,” and “our” refer to F/X Fusion. We operate FXFusion.com and the related online store, including the information, content, features, tools, products, and services made available through it (collectively, the “Services”).

Our online store is powered by Shopify, which provides the ecommerce platform that enables us to offer our products and Services to you.

These Terms of Service (“Terms”), together with our Privacy Policy, Refund Policy, Shipping Policy, and any other policies referenced herein, govern your access to and use of the Services.

Please read these Terms carefully. They contain important information regarding your legal rights, responsibilities, warranties, limitations of liability, and other conditions governing your use of the Services.

By accessing, browsing, purchasing from, or otherwise using the Services, you agree to be bound by these Terms and our applicable policies. If you do not agree, you should not access or use the Services.

SECTION 1 – ELIGIBILITY, ACCESS AND ACCOUNTS

By using the Services, you represent that you are at least the age of majority in your state or jurisdiction of residence or that you have the permission of a parent or legal guardian where required.

When using the Services or placing an order, you may be required to provide information including your name, email address, billing information, payment information, shipping address, and other information necessary to process your transaction.

You agree that all information you provide is accurate, current, and complete and that you have the right to provide such information.

If you create a customer account, you are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account. You agree to notify us promptly if you believe your account has been accessed or used without authorization.

You may not transfer, sell, assign, or license your customer account to another person.

SECTION 2 – PRODUCTS AND PRODUCT INFORMATION

We make reasonable efforts to accurately display and describe our products, including their colors, patterns, materials, dimensions, features, and other characteristics.

However, the appearance of a product may vary depending on your device, screen settings, lighting, photography, manufacturing variations, and other factors. We cannot guarantee that your device's display will reproduce every product color or detail exactly.

Minor variations in color, pattern placement, texture, measurements, or other characteristics that are inherent to apparel manufacturing may occur.

Product descriptions, specifications, pricing, availability, and other information may be changed at any time without notice.

We reserve the right to discontinue products, modify products, or limit quantities available for purchase at our discretion.

SECTION 3 – ORDERS AND ORDER ACCEPTANCE

Submitting an order constitutes an offer to purchase products from F/X Fusion.

Receipt of an order confirmation does not necessarily constitute final acceptance of your order. We reserve the right to accept, reject, limit, or cancel an order for legitimate business reasons, including but not limited to:

• Product or inventory availability
• Errors in product information or pricing
• Payment authorization problems
• Suspected fraud or unauthorized transactions
• Suspected resale or other misuse
• Shipping or geographic restrictions
• Violations of these Terms

If we cancel an order after payment has been processed, we will issue an appropriate refund to the original payment method.

Please review your order carefully before submitting it. Once an order has entered processing or fulfillment, we may be unable to modify or cancel it.

Customer-Initiated Order Cancellations

All customer-initiated order cancellation requests must be submitted directly to F/X Fusion Customer Service.

To request a cancellation, please contact us as soon as possible at support@fxfusion.com or 507-345-3355 and provide your order number.

Cancellation requests are reviewed individually and are not guaranteed. Once an order has entered processing or fulfillment, cancellation may no longer be possible.

If a cancellation request is approved after payment has been collected, the refund will be issued to the original payment method. The time required for the refund to appear may vary depending on your payment provider.

Orders that have already shipped cannot be canceled but may be eligible for return in accordance with our Refund Policy.

We will attempt to communicate material order changes or cancellations using the contact information provided with your order.

Purchases are subject to our Refund Policy.

Unless otherwise agreed by F/X Fusion, products purchased through FXFusion.com are intended for personal or household use and not for unauthorized commercial resale or export.

SECTION 4 – PRICING, PROMOTIONS AND PAYMENT

Prices, discounts, promotions, product availability, and offers are subject to change without notice.

The price charged for a product will generally be the price displayed when your order is submitted, subject to correction of errors as described in these Terms.

Unless expressly stated otherwise, displayed product prices do not include applicable sales taxes or shipping charges.

Prices offered on FXFusion.com may differ from prices offered by independent retailers, wholesale customers, marketplaces, physical stores, or other sellers of F/X Fusion merchandise.

Promotional offers may be subject to additional terms, including eligibility requirements, exclusions, expiration dates, minimum purchases, or restrictions on combining promotions.

Unless expressly stated otherwise, promotional codes and discounts may not be combined.

You agree to provide accurate and complete billing and payment information and represent that you are authorized to use the payment method submitted with your order.

SECTION 5 – SHIPPING AND DELIVERY

Orders are shipped according to our Shipping Policy.

Processing and delivery dates are estimates unless expressly stated otherwise. Carrier delays, severe weather, incorrect addresses, customs processing, supply disruptions, and other circumstances outside our reasonable control may affect delivery.

You are responsible for providing a complete and accurate shipping address. Additional costs resulting from an incorrect or incomplete address may be the customer's responsibility where permitted by law.

Nothing in this section limits rights or remedies that cannot legally be limited under applicable law.

SECTION 6 – RETURNS, EXCHANGES AND REFUNDS

Returns, exchanges, and refunds are governed by our Refund Policy.

Eligibility requirements, return windows, non-returnable merchandise, return shipping responsibilities, refund processing, and exchange procedures are described in that policy.

We reserve the right to reject a return or refund request when merchandise does not satisfy the requirements stated in our Refund Policy, subject to applicable law.

The Services and their contents, including without limitation trademarks, trade names, logos, product names, designs, text, photographs, graphics, illustrations, videos, audio, website design, and other materials, are owned by or licensed to F/X Fusion and are protected by applicable intellectual property laws.

The Services are provided for your personal, non-commercial use.

Except as expressly permitted by law or with our prior written authorization, you may not copy, reproduce, distribute, modify, publish, display, transmit, create derivative works from, sell, license, scrape, commercially exploit, or otherwise use our protected materials.

The F/X Fusion name, logos, product names, designs, and related branding are trademarks or other intellectual property of F/X Fusion or its licensors. Nothing contained in the Services grants you a license or right to use these marks without prior written permission.

All rights not expressly granted are reserved.

SECTION 8 – THIRD-PARTY SERVICES AND TOOLS

The Services may provide access to tools, applications, payment processors, social networks, integrations, or other services operated by third parties.

We do not control all third-party services and cannot guarantee their availability, security, accuracy, or performance.

Your use of third-party services may be governed by separate terms and privacy policies provided by those third parties.

To the extent permitted by law, F/X Fusion is not responsible for losses or damages resulting solely from your use of an independent third-party service outside our control.

SECTION 9 – THIRD-PARTY LINKS

The Services may contain links to websites or resources operated by third parties.

A link does not necessarily constitute our endorsement of that third party, its website, products, services, information, or practices.

If you choose to access a third-party website, you do so subject to that website's terms, policies, and practices.

Questions or disputes concerning products or services purchased directly from a third party should generally be directed to that third party.

SECTION 10 – RELATIONSHIP WITH SHOPIFY

F/X Fusion's online store is powered by Shopify, which provides technology that enables us to offer the Services.

Purchases made from F/X Fusion through our store are transactions between you and F/X Fusion. Shopify is our ecommerce platform provider and is not the seller of F/X Fusion products.

To the extent permitted by applicable law, Shopify and its affiliates are not responsible for claims, damages, or liabilities arising from products purchased directly from F/X Fusion.

SECTION 11 – PRIVACY

Our collection, use, disclosure, and protection of personal information is governed by our Privacy Policy.

Because our store is powered by Shopify, Shopify may also collect and process certain information in connection with your access to and use of the Services. Shopify's handling of information is governed by its applicable privacy policies.

Other service providers we use to operate our business may process information as described in our Privacy Policy.

SECTION 12 – REVIEWS, FEEDBACK AND USER CONTENT

If you voluntarily submit product reviews, photographs, comments, suggestions, ideas, feedback, or other content (“User Content”), you represent that you have the necessary rights to provide that content.

You grant F/X Fusion a non-exclusive, worldwide, royalty-free, transferable and sublicensable license to use, reproduce, modify, publish, display, distribute, and otherwise use User Content in connection with operating, marketing, and promoting F/X Fusion and its products, subject to applicable law.

You may not submit User Content that:

• Infringes another person's intellectual property, privacy, publicity, or other rights
• Contains knowingly false or misleading information
• Contains unlawful, threatening, defamatory, obscene, abusive, or malicious material
• Contains malware or harmful code
• Misrepresents your identity or relationship with another person or organization

Where compensation, free products, discounts, or other incentives were provided in connection with content or a review, applicable disclosures must be made.

We may moderate or remove User Content where appropriate, but we are not obligated to monitor all User Content.

SECTION 13 – ERRORS, INACCURACIES AND OMISSIONS

Despite our efforts, the Services may occasionally contain typographical errors, inaccuracies, omissions, or outdated information relating to products, descriptions, pricing, promotions, shipping charges, availability, or other matters.

We reserve the right to correct errors or update information at any time.

If a material pricing or product-information error affects an order, we may contact you for instructions or cancel the affected order and issue an appropriate refund.

You may not use the Services to:

We reserve the right to restrict, suspend, or terminate access to the Services where we reasonably believe these Terms have been violated.

We may suspend or terminate your access to some or all of the Services if you violate these Terms, misuse the Services, engage in fraudulent or unlawful conduct, or create security or operational risks.

Termination does not affect obligations or liabilities incurred before termination.

Provisions that by their nature should survive termination—including intellectual property, limitations of liability, indemnification, governing law, and similar provisions—will remain in effect.

SECTION 16 – DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

WE DO NOT WARRANT THAT THE SERVICES WILL ALWAYS BE UNINTERRUPTED, SECURE, ERROR-FREE, OR AVAILABLE.

EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED BY F/X FUSION OR RIGHTS THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW, WE DISCLAIM WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

SECTION 17 – LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, F/X FUSION AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR SIMILAR LOSSES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

Because some jurisdictions do not permit certain exclusions or limitations of liability, some of the foregoing limitations may not apply to you.

SECTION 18 – INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless F/X Fusion and its affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, liabilities, damages, losses, and reasonable expenses arising from:

• Your material breach of these Terms
• Your unlawful use of the Services
• Your violation of applicable law
• Your infringement or violation of another person's rights

We reserve the right to participate in or control the defense of claims subject to indemnification where appropriate.

SECTION 19 – SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the fullest extent permitted by law or severed to the minimum extent necessary.

The remaining provisions will continue in full force and effect.

SECTION 20 – WAIVER AND ENTIRE AGREEMENT

Our failure to exercise or enforce any right under these Terms does not constitute a waiver of that right.

These Terms and the policies incorporated into them constitute the agreement governing your use of the Services and supersede prior agreements or communications concerning the same subject matter, except where otherwise expressly agreed in writing.

SECTION 21 – ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, corporate reorganization, or other legitimate business transaction, subject to applicable law.

SECTION 22 – GOVERNING LAW

These Terms and your use of the Services are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles, except where applicable federal law or mandatory consumer-protection laws provide otherwise.

To the extent permitted by applicable law, legal proceedings arising from these Terms or the Services shall be brought in the appropriate state or federal courts serving Blue Earth County, Minnesota, and the parties consent to the jurisdiction of those courts.

Nothing in this section limits any rights you may have under mandatory consumer-protection laws applicable in your jurisdiction.

SECTION 23 – CHANGES TO THESE TERMS

We may update these Terms periodically to reflect changes to our Services, business practices, legal requirements, or other circumstances.

The current version will be posted on this page along with its applicable “Last Updated” date.

Where required by law, we will provide additional notice of material changes.

Your continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by applicable law.
